Terms of Service & Agency Boundaries
Clear, honest terms defining the working relationship between Almajdoub Dispatch and independent motor carriers. Designed to ensure operational clarity and regulatory transparency.
1. Legal Status & Agency Role (49 CFR 371.2)
Almajdoub Dispatch, operated by Ahmed Almajdoub, provides independent back-office administrative and dispatch support services.
- Bona Fide Agent: We act exclusively as an administrative agent on behalf of the motor carrier with whom we have entered into a written dispatch agreement.
- Not a Broker: We are not a freight broker or freight forwarder. We do not solicit freight on our own behalf, do not sell freight, and do not buy freight.
- Not a Motor Carrier: We do not own, operate, or maintain commercial motor vehicles, and we do not employ commercial drivers.
2. Carrier Operational Control & Zero Forced Dispatch
The motor carrier retains full, exclusive authority over all operations:
- The Green Light Principle: Almajdoub Dispatch will never sign a rate confirmation or bind a carrier to any shipment without express, affirmative approval from the carrier.
- Sole Right of Refusal: The carrier holds complete discretion to decline or pass on any load presented by our desk for any reason (rate, location, appointment time, shipper facility, or personal schedule) with zero penalty.
- Safety & Hours of Service (HOS): The carrier and its commercial drivers remain solely responsible for compliance with Federal Motor Carrier Safety Regulations (FMCSRs), including ELD driving limits, vehicle maintenance, and safe highway speeds.
3. Scope of Limited Power of Attorney (LPOA)
When executing our service agreement, the carrier grants a narrow, strictly defined Limited Power of Attorney to Almajdoub Dispatch. This authorization is strictly limited to:
- Contacting licensed freight brokers and shippers on behalf of the carrier.
- Completing carrier qualification setup packets and transmitting carrier authority, W-9, and insurance certificates.
- Signing broker rate confirmations on carrier’s behalf only after specific verbal or written load acceptance is received from the carrier.
- Submitting Proof of Delivery (POD/BOL) documentation and invoice packages to carrier-approved factoring companies or brokers.
* The LPOA grants zero authority to open bank accounts, endorse checks, settle cargo loss claims, or alter carrier legal ownership.
4. Freight Funds, Remittance & Invoicing
To ensure complete transparency and prevent financial commingling:
- Direct Payment to Carrier: All freight funds, fuel adjustments, layover, detention, and TONU reimbursements are remitted directly from the broker to the carrier’s designated bank account or factoring company.
- Zero Intermediation: Almajdoub Dispatch never receives, holds, processes, or deducts from carrier freight monies.
- Dispatch Invoicing: Almajdoub Dispatch issues separate, transparent invoices for agreed dispatch administrative services weekly, payable via standard business payment methods.
5. Service Scope & Equipment Focus (Dry Van & Reefer)
Almajdoub Dispatch specializes in administrative dispatch representation for 53′ Dry Van and 53′ Refrigerated (Reefer) equipment. Flatbed, hazardous materials (HAZMAT), and specialized over-dimensional freight remain outside our confirmed scope.
Reefer Operations Disclaimer: For temperature-controlled freight, Carrier and its drivers maintain sole and exclusive responsibility for pre-cooling trailers, monitoring fuel levels for the refrigeration unit, continuous set-point compliance, and pulp temperature verification upon receipt and delivery. Almajdoub Dispatch bears zero cargo or financial liability for refrigeration mechanical failure, fuel exhaustion, or thermal cargo spoilage.
6. Cancellation, Termination & Desk Discontinuation
We believe in partnerships based on merit, not lock-in traps. Either party may terminate the dispatch relationship upon delivering written notice as specified in the service agreement, with Carrier remaining responsible only for dispatch administrative fees on loads completed prior to termination.
Right of Termination Without Cause & Zero Legal Liability: Almajdoub Dispatch expressly reserves the unrestricted right to suspend, discontinue, or terminate dispatch representation at its sole discretion, with or without cause, upon written notice. Dispatcher shall bear zero legal, financial, or consequential liability, damages, or claims arising from or related to the cessation or discontinuation of dispatch services.
7. Economic Rate Adjustments & Market Factors
Agreed commission rates and retainer fees are intended to remain stable during continuous service in good standing. However, Carrier expressly agrees that rates are not immutable; Dispatcher reserves the right to adjust service rates or fees in the future based on verifiable macroeconomic inflation, increases in communications/software infrastructure costs, taxation adjustments, or changes in US federal/state transportation regulations, upon providing thirty (30) calendar days prior written notice.
8. Limitation of Liability
In no event shall Almajdoub Dispatch or Ahmed Almajdoub be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, loss of freight revenue, vehicle downtime, cargo damage, or business interruption. Dispatcher’s total cumulative liability arising out of or related to our services or website under any legal theory shall strictly not exceed the total dispatch service fees actually paid by Carrier to Dispatcher during the three (3) months immediately preceding the event giving rise to liability, or $1,000.00 USD, whichever is less.
9. Indemnification & Hold Harmless
Carrier agrees to defend, indemnify, and hold harmless Ahmed Almajdoub d/b/a Almajdoub Dispatch, its independent dispatchers, and agents from and against any and all claims, liabilities, losses, damages, fines, penalties, settlements, and reasonable legal expenses arising out of or resulting from: (a) Carrier’s highway operations, commercial motor vehicle collisions, property damage, personal injury, or driver conduct; (b) cargo loss, damage, theft, contamination, or shortage; (c) violations of Federal Motor Carrier Safety Regulations (FMCSRs) or state/federal laws; or (d) Carrier’s breach of any broker rate confirmation or shipper agreement.
10. Governing Law & Mandatory ••• Arbitration
These Terms of Service and all operational agreements shall be construed, interpreted, and governed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any controversy, dispute, or claim arising out of or relating to our services or this Agreement shall be resolved through binding, individual arbitration administered by the American Arbitration Association (•••) under its Commercial Arbitration Rules, held in Galveston County or Harris County, Texas. Waiver of Jury Trial and Class Actions: Both parties expressly waive any right to trial by jury and covenant that any claims shall be brought solely in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.
Regulatory Transparency Notice (49 CFR 371.2)
Almajdoub Dispatch acts as an administrative dispatch support desk and bona fide agent representing motor carriers under written service agreement. We are not a freight broker, freight forwarder, motor carrier, or direct transportation provider. We do not bill shippers, do not take custody of freight, and do not receive or hold freight charges. All contracts for carriage are made directly between the authorized motor carrier and licensed brokers or shippers.
